Acceptance of Terms

By accessing the Derello website or engaging us for any service, you agree to be bound by these Terms of Service. If you are accepting on behalf of a company, you confirm that you are authorized to do so.

If you do not agree with these terms, you should not use our website or services.

Our Services

Derello designs and develops custom software for businesses, including:

  • Client Portals

  • Internal Business Tools
  • Landing Pages and Business Websites
  • Workflow Automation
  • API Integrations

The specific scope, deliverables, and timeline of any engagement are defined in a separate proposal or agreement.

Quotes and Projects

Quotes we provide are based on the information available at the time and are valid for the period stated. A project begins once scope and terms are agreed in writing.

Changes to an agreed scope may affect the timeline and cost and will be handled through a mutually approved change request.

Intellectual Property

Upon full payment, ownership of the final custom deliverables created specifically for your project transfers to you, unless otherwise agreed in writing.

Derello retains ownership of its pre-existing tools, libraries, and know-how, and any general components reused across projects, and grants you a license to use them as part of your deliverables. We may reference completed work in our portfolio unless you ask us not to.

Client Responsibilities

To deliver on time, we rely on your timely cooperation. You agree to provide accurate information, required materials, access, and feedback within reasonable timeframes.

You are responsible for the legality of the content and data you provide and for obtaining any rights or consents necessary for us to perform the work.

Payments

Fees, payment schedule, and currency are set out in the applicable proposal or agreement. Unless stated otherwise, invoices are due within the period specified on the invoice.

Late payments may incur interest and may result in the suspension of work until outstanding amounts are settled.

Confidentiality

Each party may receive confidential information from the other. Both parties agree to keep such information confidential and to use it only for the purposes of the engagement.

This obligation continues after the project ends and does not apply to information that is public, already known, or independently developed without reference to the confidential information.

Limitation of Liability

Our services are provided with professional care. To the maximum extent permitted by law, Derello is not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or business.

Our total liability arising from any engagement will not exceed the fees paid to us for the specific services giving rise to the claim.

Changes to Terms

We may update these Terms of Service from time to time. When we do, we will revise the date shown at the top of this page.

Continued use of our website or services after changes take effect constitutes acceptance of the updated terms.
